NAV PRODUCTIONS – TERMS AND CONDITIONS OF SERVICE

This Terms and Conditions of Service Agreement (“Agreement”) is a legally binding contract between you (“Client,” “you,” or “your”) and NAV Productions LLC, its subsidiaries, affiliates, employees, and authorized agents (“NAV Productions,” “NAV,” “we,” “us,” or “our”). By accessing our website, engaging with our services, or executing any written agreement with NAV Productions, you accept and agree to be bound by the terms and conditions set forth herein.

If you do not agree with any of the terms contained in this Agreement, you must immediately discontinue any use of our website and refrain from initiating or continuing any service engagement with NAV Productions.

NAV Productions reserves the right to amend, modify, or revise this Agreement at any time without prior notice at our sole discretion. The most current version of the Terms will be posted on our website and shall supersede all prior versions. It is your responsibility to review these Terms periodically to remain informed. Continued engagement with NAV following any updates constitutes acceptance of the revised Terms.

1. General Overview

NAV Productions is a professional media production firm providing a wide range of services including but not limited to videography, photography, drone operations, aerial imaging, 3D scanning, digital post-production, and branded content development. Our client base spans real estate, corporate, lifestyle, entertainment, and other commercial sectors.

This Agreement governs all interactions between you and NAV Productions including service proposals, digital communications, payments, deliverables, licensing, and general access to our platforms and intellectual property.

2. Acceptance and Modification of Terms

NAV reserves the right to amend this Agreement in part or in whole at any time. Changes are effective upon publication. It is your responsibility to review these Terms prior to using our services. Continued use of NAV services following any update constitutes acceptance of the revised Terms.

3. Service Engagement and Project Execution

3.1 Proposal and Scope Confirmation

Most projects begin with a formal scope of work, quotation, or service proposal which outlines deliverables, timelines, pricing, licensing, and production terms. Once approved, NAV will assign resources, block production dates, and initiate pre-production processes accordingly.

3.2 Client Responsibilities

Clients are responsible for providing timely access to locations, availability of all necessary participants such as talent or stakeholders, and approval of project direction and logistics. Clients must also disclose any usage restrictions, brand guidelines, or confidentiality concerns in writing prior to production.

NAV shall not be held responsible for project delays or budget overages resulting from late approvals, miscommunications, limited access, unsafe environments, or scheduling conflicts.

3.3 Change Requests

Once production has commenced, any modification to the agreed-upon deliverables, direction, or scope will require a formal change order. NAV reserves the right to determine whether such changes require additional billing, resources, or timeline extensions. Change orders must be confirmed in writing.

4. Scheduling Cancellations and Rescheduling

4.1 Confirmed Bookings

Production bookings are not considered confirmed until payment has been received or other terms agreed in writing and NAV has issued written confirmation. Scheduling is subject to availability and may vary based on demand, location, and complexity.

4.2 Rescheduling

NAV recognizes that project circumstances may evolve. Any request to alter a confirmed production schedule must be submitted in writing. If a scheduling change is not resolved within forty eight hours of the scheduled service, a rescheduling fee may be assessed. Fees will be determined based on logistical complexity, staff allocation, and preparatory costs incurred.

4.3 Cancellations

Cancellation requests must be submitted in writing. NAV reserves the right to charge for work already completed or resources allocated prior to cancellation. NAV retains full discretion to determine applicable charges on a case by case basis factoring in pre production labor, staffing, travel, rentals, and loss of scheduling opportunity.

5. Payment Terms

5.1 Payment Requirements

Unless otherwise agreed in writing, NAV Productions requires payment in full prior to the commencement of production. In certain cases deposits or milestone based payments may be agreed upon. NAV reserves the right to pause or cancel any project for which payment has not been received in accordance with the agreed schedule.

5.2 Late Payments

Invoices not paid within the specified terms may be subject to administrative fees, delayed delivery of final assets, and project cancellation. NAV reserves the right to apply a late fee to any unpaid balance and to pursue all available remedies for recovery including but not limited to collections, liens, reporting to credit agencies, and legal action.

5.3 Recovery Rights

In the event of default, Client agrees to pay all reasonable costs associated with the collection of outstanding payments including administrative fees, attorney’s fees, court costs, interest, and third party collection agency charges.

6. Deliverables and Revisions

6.1 Production Output

NAV will deliver final edited content in digital format unless otherwise specified. Formats resolution and aspect ratios will be aligned with the agreed scope. Storage and backup of project files are maintained for a limited period and may be purged unless archival services are requested in writing.

6.2 Revisions

Each project includes a limited number of revisions typically defined in the service agreement. Requests exceeding the allocated revisions or those introducing new creative directions formats or messaging will be treated as additional work and billed accordingly.

NAV reserves the right to evaluate the impact of all revision requests on project timelines and cost structure.

7. Ownership and Licensing

7.1 Intellectual Property

All source material raw footage working files graphics templates and production assets created by NAV remain the intellectual property of NAV Productions unless otherwise specified in a mutually signed release agreement. This includes but is not limited to video footage photography scripts graphics music overlays and any AI enhanced content.

7.2 License to Use

Clients are granted a non exclusive non transferable license to use final deliverables for the purpose and distribution channel specified in the service agreement. Any extended usage redistribution public broadcast resale or licensing to third parties requires NAV’s written approval and may be subject to additional licensing fees.

8. Portfolio and Public Use Rights

Unless explicitly restricted in writing prior to engagement NAV Productions reserves the right to display final deliverables or excerpts thereof for purposes of public portfolio internal training awards submissions case studies or promotional campaigns.

Clients may request temporary or permanent embargoes under specific circumstances which NAV will evaluate in good faith.

9. Data Handling and Confidentiality

NAV Productions treats all non public project information media assets and sensitive client material with strict professional discretion. We do not sell trade or rent client data under any circumstances.

We may share limited information with employees contractors or vendors strictly for the purpose of fulfilling service delivery and only under appropriate confidentiality agreements.

Disclosure may occur without consent only if required by applicable law legal process or to protect the rights and property of NAV Productions its clients or the public.

10. Data Storage and Security

NAV implements security protocols consistent with industry standards to protect your project files and associated data. However no digital infrastructure is immune from risk. NAV cannot guarantee absolute security or uninterrupted access to files once delivered. It is the Client’s responsibility to download and back up final files upon delivery.

Requests for file recovery after project closure may incur administrative handling fees or may not be possible depending on the age and nature of the project.

11. Indemnification

Client agrees to defend indemnify and hold harmless NAV Productions its affiliates directors officers contractors and employees from and against all claims liabilities damages losses or expenses including reasonable attorneys’ fees and court costs arising from or related to

Misuse of NAV content
Infringement of third party rights
Breach of confidentiality
Use of deliverables outside the agreed scope

12. Limitation of Liability

To the maximum extent permitted by law NAV Productions shall not be liable for indirect incidental consequential punitive or special damages including loss of profits data opportunity or goodwill even if advised of such possibility.

NAV’s total aggregate liability under this Agreement shall not exceed the total fees paid by Client for the specific service giving rise to the claim.

13. Force Majeure

NAV Productions shall not be held responsible for failure to perform or delay in performance due to circumstances beyond its reasonable control. This includes but is not limited to acts of God natural disasters equipment failures internet or power outages labor strikes governmental restrictions pandemics or similar force majeure events.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of 12-11-2024 excluding its conflict of law principles.

Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction and venue of the state or federal courts located within [Insert County State] and Client expressly waives any objections based on jurisdiction or venue.

15. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes all prior or contemporaneous agreements representations or discussions whether written or oral.

Any waiver amendment or modification of these Terms must be made in writing and signed by an authorized representative of NAV Productions.
